These Terms of Service (the "Terms") govern access to and use of the Services provided by Infera Health, Inc. ("Infera") by any organization that does not have a signed Cloud Service Agreement with Infera ("Customer"). By clicking to accept these Terms, or by accessing or using the Services, the individual doing so accepts these Terms on behalf of Customer and represents that they have authority to bind Customer. An individual who does not have that authority, or who does not agree to these Terms, may not access or use the Services.
The Services are offered only to businesses and other organizations for their internal business purposes, and not to consumers.
Relationship to a Cloud Service Agreement. If Customer and Infera sign a Cloud Service Agreement covering the Services, that agreement governs Customer's use of the Services it covers from its effective date and replaces these Terms for those Services. Customer Content already in Customer's account remains available under the Cloud Service Agreement.
Access to the Services
Access. Subject to these Terms, Infera grants Customer a non-exclusive, non-transferable, revocable right during the Access Period to access and use the Services, and to copy and use the Software and Documentation only as needed to do so, in each case for Customer's internal business purposes.
Access Period. Customer's access begins when Infera issues Customer's first account credentials and continues until either party ends it under the Suspension and Termination section. Infera may specify an access period, features, or usage limits for Customer by email or in the Services, and those specifications form part of these Terms.
No Fees. Infera provides access under these Terms without charge. Infera will charge for the Services only under a signed Cloud Service Agreement.
Support. Infera may provide support by email at support@infera.com at its discretion but has no obligation to do so.
Changes to the Services. Infera may add, change, or remove features of the Services at any time.
Beta Products. Infera may make Beta Products available to Customer. Beta Products are experimental, may be changed or withdrawn at any time with or without notice, and may never become generally available.
Accounts and Users
User Accounts. Customer is responsible for its Users, for all activity under its accounts, and for each User's compliance with these Terms. Customer and its Users must keep their login credentials confidential and must not share accounts. Customer will notify Infera promptly at support@infera.com if it suspects or learns of any unauthorized access to its accounts or any compromise of its credentials.
Account Information. Customer will provide accurate account information and keep it current.
Customer Content and Data
Ownership. As between the parties, Customer owns Customer Content and, to the fullest extent permitted by applicable law, Output Content.
License to Infera. Customer grants Infera a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and modify Customer Content as needed to provide, maintain, secure, and support the Services, and as otherwise permitted by these Terms. The license lasts for the Access Period and until Customer Content is deleted under the Data Retention and Deletion section.
Customer Responsibilities. Customer is responsible for the accuracy, quality, and legality of Customer Content. Customer represents that it has, and will keep, all rights and consents needed to submit Customer Content to the Services and to allow Infera to use it as described in these Terms.
Usage Data. Infera may collect and analyze Usage Data and may use it to operate, maintain, secure, improve, and promote its products and services. Infera will disclose Usage Data outside Infera and its Subprocessors only in aggregated form that does not identify Customer or any User.
Aggregated Statistics and De-identified Data. Infera may compile Aggregated Statistics and create De-identified Data, including from Customer Content, and may use them to operate, analyze, and improve its products and services, including to train, fine-tune, and improve Infera's artificial intelligence and machine learning models. Infera owns Aggregated Statistics and De-identified Data. Infera will not attempt to re-identify De-identified Data and will not publish or disclose Aggregated Statistics or De-identified Data in a form that identifies Customer, any User, any individual, or Customer's Confidential Information.
Feedback. Customer may, but is not required to, give Infera Feedback. Customer gives Feedback "as is," and Infera may use it without restriction or obligation.
AI Features
Use of AI Features. The Services include AI Features that generate Output Content from Input Data. Customer will use AI Features and Output Content lawfully, in accordance with the Documentation, and in a way that does not infringe, misappropriate, or otherwise violate the rights of Infera or any third party.
AI Model Providers. Infera uses third-party AI model providers, identified on the Subprocessor List, to operate AI Features, and may send Customer Content to them solely to provide the Services. Infera will not permit those providers to use Customer Content to train their models.
No Training on Customer Content. Infera will not use Customer Content, or permit any third party to use it, to train, retrain, or otherwise improve artificial intelligence or machine learning models, except in the form of De-identified Data as permitted in the Customer Content and Data section.
Review of Output. Output Content may be inaccurate, incomplete, or similar to output generated for other users, and AI Features are not a substitute for human judgment. Customer is responsible for reviewing Output Content before relying on it, including before using it in any regulatory submission, design history file, technical file, or quality record, and for all decisions and actions taken based on it.
Restrictions
Customer will not, and will not allow anyone else to:
- reverse engineer, decompile, or attempt to discover the source code or underlying ideas or algorithms of the Services, except to the extent applicable law prohibits this restriction;
- sell, resell, sublicense, rent, lend, transfer, or otherwise provide access to the Services to anyone other than its Users;
- copy, modify, or create derivative works of the Services, or remove any proprietary notices or labels;
- conduct security or vulnerability tests on the Services, interfere with or degrade their operation, or circumvent their access controls or usage limits;
- access accounts, data, or portions of the Services that it is not authorized to access;
- use the Services to develop a competing product or service;
- use the Services for any High Risk Activity or any purpose prohibited by applicable law, or to gain unauthorized access to anyone else's networks or equipment;
- submit Customer Content that Customer does not have the right to submit, or that contains viruses or other harmful code; or
- submit Prohibited Data to the Services.
Privacy and Security
Personal Data. Customer may submit Personal Data to the Services, other than Prohibited Data. The Infera Data Processing Addendum at https://www.infera.com/docs/terms#dpa (the "DPA") forms part of these Terms and governs Infera's processing of Personal Data contained in Customer Content. The DPA applies automatically when Customer accepts these Terms, without a separate signature. If the DPA and these Terms conflict with respect to Personal Data, the DPA controls.
Prohibited Data. Customer must not submit Prohibited Data to the Services, including protected health information regulated by HIPAA. Infera does not enter into business associate agreements under these Terms. Infera may delete any Prohibited Data it discovers, and Infera has no obligations or liability for Prohibited Data submitted in breach of these Terms.
Account Data. Infera processes contact, account, and usage information about Customer's Users and business contacts as a controller, as described in the Infera Privacy Policy at https://www.infera.com/docs/terms#privacy.
Security. Infera will maintain the administrative, technical, and physical safeguards described in the DPA to protect Customer Content.
Confidentiality
Obligations. The Recipient will use the Discloser's Confidential Information only to exercise its rights and perform its obligations under these Terms, will not disclose it except as these Terms permit, and will protect it using at least the same care it uses for its own similar information and no less than reasonable care. The Recipient may disclose Confidential Information to its employees, contractors, advisors, and representatives, and in Infera's case its Subprocessors, who need to know it and are bound by confidentiality obligations at least as protective as those in this section. The Recipient remains responsible for their compliance.
Exclusions. Confidential Information does not include information that the Recipient knew without a confidentiality obligation before disclosure, that is or becomes publicly available through no fault of the Recipient, that the Recipient receives from someone authorized to disclose it without a confidentiality obligation, or that the Recipient independently develops without using or referring to the Discloser's Confidential Information.
Required Disclosures. The Recipient may disclose the Discloser's Confidential Information to the extent required by law if, where legally permitted, the Recipient gives the Discloser reasonable advance notice and reasonably cooperates, at the Discloser's expense, with the Discloser's efforts to obtain confidential treatment.
Data Retention and Deletion
Export. Customer may export Customer Content during the Access Period using the export features of the Services or by request to support@infera.com.
Notice Before Ending Access. When practical, Infera will give Customer reasonable notice by email before ending Customer's access for convenience, so that Customer can export its Customer Content. This does not apply when Infera suspends or ends access because of a breach of these Terms, a security risk, or a legal requirement.
Deletion. Infera has no obligation to keep Customer Content after the Access Period ends. Infera will delete Customer Content within 60 days after the Access Period ends, unless Customer has signed a Cloud Service Agreement by then. Customer may ask Infera to delete Customer Content sooner by emailing support@infera.com. Copies in backups are deleted as those backups expire in the ordinary course and remain protected under these Terms until deleted. Infera may keep Customer Content where applicable law requires, subject to these Terms.
Suspension and Termination
Termination. Either party may end Customer's access and these Terms at any time, for any reason, by notice to the other. Customer may give notice by emailing support@infera.com or by closing its account. Infera may give notice by email or in the Services.
Suspension. Infera may suspend Customer's or any User's access immediately, with or without notice, if Infera reasonably believes that Customer or a User has breached these Terms, that use of the Services poses a security risk or may harm Infera or others, or that suspension is required by law.
Effect of Termination. When the Access Period ends, Customer's right to use the Services ends, the Data Retention and Deletion section applies, and each Recipient will return or destroy the Discloser's Confidential Information, except for copies kept in backups or as required by law, which remain subject to these Terms. The sections on Customer Content and Data, the Review of Output clause, Restrictions, Privacy and Security, Confidentiality, Data Retention and Deletion, Disclaimer of Warranties, Limitation of Liability, Indemnification, General Terms, and Definitions survive the end of these Terms.
Disclaimer of Warranties
Each party represents that it has the legal power and authority to enter into these Terms. EXCEPT AS STATED IN THE PREVIOUS SENTENCE, THE SERVICES, AI FEATURES, OUTPUT CONTENT, BETA PRODUCTS, SOFTWARE, AND DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND INFERA DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. INFERA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT OUTPUT CONTENT WILL BE ACCURATE, COMPLETE, OR ORIGINAL, OR THAT USE OF THE SERVICES WILL SATISFY ANY REGULATORY REQUIREMENT. THESE DISCLAIMERS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
Limitation of Liability
Damages Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR LOST PROFITS OR REVENUES, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF INFORMED OF THE POSSIBILITY OF THOSE DAMAGES IN ADVANCE.
Liability Cap. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INFERA'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Exceptions and Scope. The Damages Waiver does not apply to Customer's breach of the Restrictions section or the Prohibited Data clause, to Customer's indemnification obligations, or to either party's infringement or misappropriation of the other party's intellectual property rights. These limitations apply to all liability, whether in contract, tort (including negligence), breach of statutory duty, or otherwise. Nothing in these Terms limits or excludes liability to the extent applicable law prohibits it.
Indemnification
Customer will defend, indemnify, and hold harmless Infera and its affiliates, officers, employees, and agents from and against any claim, action, or proceeding brought by a third party or a governmental authority that arises from Customer Content (including a claim that Customer Content infringes or misappropriates anyone's rights), from Customer's or its Users' breach of these Terms, or from Customer's submission of Prohibited Data. Customer will pay all resulting damages, awards, settlements, costs, and reasonable attorneys' fees, and, to the extent permitted by law, fines and penalties. Infera will promptly notify Customer of the claim, give Customer control of its defense and settlement, and provide reasonable assistance at Customer's expense. Customer may not settle a claim in a way that admits fault by Infera or imposes obligations on Infera without Infera's prior written consent. Infera provides no indemnity under these Terms.
Changes to These Terms
Infera may update these Terms by posting the updated version at https://www.infera.com/docs/terms and notifying Customer by email or in the Services. Updates take effect 10 days after notice, except that updates required by law take effect immediately. Customer's continued use of the Services after an update takes effect means Customer accepts it. If Customer does not agree to an update, Customer must stop using the Services and may end its access under the Suspension and Termination section.
General Terms
Governing Law and Courts. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The parties will bring any suit, action, or proceeding about these Terms only in the state or federal courts located in Delaware, and each party submits to the exclusive jurisdiction of those courts. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for a breach of the Confidentiality section or an infringement of its intellectual property rights, without posting a bond.
Entire Agreement. These Terms, including the DPA and any specifications Infera provides under the Access Period clause, are the entire agreement between the parties about their subject and supersede all prior or contemporaneous statements about it. Terms in any Customer purchase order, vendor portal, or other Customer document do not apply.
Assignment. Customer may not assign these Terms without Infera's prior written consent. Infera may assign these Terms on notice in connection with a merger, acquisition, change of control, reorganization, or sale of all or substantially all of its equity, business, or assets. Any other attempted assignment is void.
Notices. Infera may send notices to the email address associated with Customer's account. Customer must send notices to Infera by email to support@infera.com, or for privacy matters to privacy@infera.com. Notices are effective on confirmed delivery.
Publicity. Infera may identify Customer as a user of the Services only with Customer's prior consent, which may be given by email.
Export Controls and Sanctions. Customer will comply with U.S. and other applicable export control and sanctions laws. Customer represents that neither it nor any of its Users is located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, or is listed on, or 50% or more owned by any party listed on, any U.S. or other applicable list of restricted or sanctioned parties. Infera may end Customer's access immediately to comply with these laws.
Government Rights. The Services and Software are "commercial items" and "commercial computer software" as described in FAR 12.212 and DFARS 227.7202, and any use by the U.S. government is governed solely by these Terms.
Force Majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control.
Independent Contractors and Third Parties. The parties are independent contractors. There are no third-party beneficiaries of these Terms.
Severability and Waiver. If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. A party's failure to enforce a provision is not a waiver of it.
Interpretation. Headings are for convenience only, and "including" means "including without limitation." The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply to these Terms.
Electronic Acceptance. Acceptance of these Terms by clicking, or by accessing or using the Services, is binding in the same way as a signed written agreement.
